WalletUp Merchant Terms of Service

Version 2026-09-11

These Terms of Service ("Terms") govern your access to and use of the WalletUp payment platform and related services (the "Service") operated by WalletUp ("WalletUp", "we", "us"). By creating an account, connecting a payment account, or processing a transaction, you ("Merchant", "you") agree to these Terms.

1. The Service

WalletUp provides tools to accept payments from your customers, including a hosted checkout, WooCommerce integration, mobile money, peer-to-peer methods, and card payments facilitated through Stripe. WalletUp is a technology provider and is not a bank, money transmitter, or the merchant of record for your sales.

2. Eligibility & account

You must be able to form a binding contract and operate a lawful business. You are responsible for the accuracy of the information you provide, for all activity under your account, and for keeping your credentials secure.

3. Payment processing (Stripe)

Card payments are processed by Stripe under Stripe’s Connected Account Agreement and Services Agreement, which you accept when you connect Stripe. Stripe’s processing fees are charged to your connected account by Stripe and are separate from WalletUp’s platform fee. Settlement and payout timing are controlled by Stripe.

4. Platform fees

WalletUp charges a platform fee on every successful card transaction processed through a connected Stripe account, at the rate set out in the Fee Schedule in effect at the time of that transaction.

The platform fee of 2.00% applies to every successful card transaction processed through a connected Stripe account, on every plan, licence and account type, with no exemption. The one card route that carries no platform fee is entering your own Stripe API keys in the plugin, which takes the payment off this platform altogether.

Where possible, the platform fee is collected automatically as an application fee at the time of the transaction. The fee applies to every successful card transaction on a connected Stripe account, including transactions processed before automatic collection was enabled on your account, at the rate then in effect. This is deferred collection of a fee that already applied, not a retrospective change of rate. Any platform fee that is not collected at the time of a transaction accrues as an outstanding balance payable by you (“fees owed”).

WalletUp may collect an outstanding balance of fees owed by (a) adding it to the application fee on your subsequent transactions — in which case the total platform fee applied to any single transaction will not exceed 20.00% of that transaction — or (b) issuing you an invoice for the balance. Fees already incurred remain payable even if your account is closed.

WalletUp may amend the Fee Schedule prospectively — including rates, caps, fee-recovery mechanics and payment-method-specific pricing — on the notice set out in Section 11. No plan, license or account type carries a permanent or guaranteed rate or exemption. The Fee Schedule in effect at the time of a transaction governs that transaction, and amendments do not apply retrospectively to transactions already processed. Where you have prepaid a license term, a change to the platform fee treatment of that license takes effect at your next renewal rather than during the term you have paid for.

Fee Schedule (current). Every connected Stripe account: 2.00% of each successful card transaction, with total platform fee on any single transaction capped at 20.00% where an outstanding balance is being recovered. This states the position as at the version date shown above and is subject to this Section 4.

5. Refunds & chargebacks

You are responsible for your own refund policy and for any refunds, disputes, and chargebacks on your transactions, including associated fees assessed by Stripe or card networks. Platform fees already applied are not returned when you refund a transaction. Stripe’s own processing fees are likewise governed by Stripe.

6. Taxes

You are solely responsible for determining, collecting, reporting, and remitting all taxes applicable to your sales.

7. Prohibited use

You may not use the Service for unlawful activity, prohibited or restricted businesses under Stripe’s or the card networks’ rules, or in any way that could damage, disable, or impair the Service. We may suspend or terminate accounts that violate these Terms or present risk.

8. Term & termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, risk, or legal requirement. Obligations that by their nature should survive termination (including payment of fees incurred) survive.

9. Disclaimers & limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, WalletUp is not liable for indirect, incidental, or consequential damages, and our aggregate liability arising from the Service is limited to the platform fees you paid to WalletUp in the three months preceding the claim.

10. Indemnification

You will indemnify and hold WalletUp harmless from claims arising out of your use of the Service, your products or services, or your violation of these Terms or applicable law.

11. Changes to these Terms

We may update these Terms and our fee schedules. For material changes — including increases to the platform fee, changes to fee-recovery mechanics, or changes affecting account eligibility — we will give at least thirty (30) days’ advance notice before the effective date, by email to your registered address, an in-dashboard notice, or an updated version posted here. Continuing to use the Service or process transactions after the 30-day notice period constitutes your acceptance of the updated Terms.
